Writing in Law Practice: Drafting Negotiated Agreements
Course Description
After an introduction to the basic components of negotiated agreements, the thought process and approach to forming agreements, and drafting skills specific to transactional drafting, each student will assume the role of an attorney representing a client in a semester-long exercise to draft a negotiated agreement. Each student will be paired with another classmate to negotiate and draft the agreement, as facts change and the class drills down to learn more specific drafting conventions and laws relevant to negotiated agreements. The professor will provide intensive, on-going feedback on the students' drafts and will supervise the negotiations to help the students develop the skills necessary for practice.
In addition to the semester-long agreement, the students will draft two other agreements, each designed to focus on learning how to navigate the use of forms of agreement in the practice of law and the skills and tasks associated with executing agreements and closing transactions. Students also will be required to develop checklists to support good drafting habits and actively reflect on their development as drafters of negotiated agreements.
Finally, the professor and students will explore the emerging capabilities of generative artificial intelligence as a tool (and a risk) to assist in agreement drafting and management.
