Corporate Governance Seminar

Course Description

The seminar will combine current academic thinking about corporate governance and ownership with practical developments (often illustrated with case studies). Topics will include: the business structure of the firm, the role of institutional investors in the public corporation, the foundations for venture capital markets, the role of gatekeepers in the Enron and related scandals, major differences in large firm corporate governance around the world, current thinking on jurisdictional competition in producing corporate law, and shareholder primacy.
