Conflict of Laws
Course Description
This seminar explores cutting-edge legal issues relating to transactions and lawsuits with elements in multiple jurisdictions. In addition to surveying historical and modern approaches to choosing applicable law developed in the inter-state context, the course will also discuss conflict of laws issues involving facts touching multiple nation states. The seminar will blend theory and practice, focusing on how the law regulates cross-border business activities. This seminar will thus pay particular attention to substantive subjects of contracts, corporate law, and securities regulation. Prior knowledge of corporate law or securities regulation is not required.
